Federal vs Ontario Incorporation: Choosing Where to Register

By Presyz Accounting · · 2 min read

At a glance

Federal and Ontario incorporation both create a corporation, but through different legal statutes and registries. The choice affects name protection, initial filing steps and ongoing compliance. Neither option automatically eliminates Ontario provincial requirements when you actually operate in Ontario.

For a business working mainly in the GTA, begin with where it will operate, what name it needs and whether it plans to expand across Canada.

What is Ontario incorporation?

An Ontario corporation is formed under Ontario's business corporation law. The registry assigns or accepts an appropriate corporate name and creates the corporation under provincial law.

Example: a local bookkeeping services corporation with Ontario operations may find provincial incorporation straightforward, but it should still consider corporate name searches and legal requirements.

What is federal incorporation?

A federal corporation forms under the Canada Business Corporations Act and can offer broader federal corporate-name recognition, subject to applicable naming and registration rules. It is still subject to business registration and tax obligations in places where it operates.

An Ontario office or employees may mean a federal corporation must make appropriate Ontario extra-provincial or information filings; investigate the current requirements instead of assuming Ottawa registration covers everything.

Does the tax rate differ?

Corporate income tax generally depends on where the corporation has permanent establishments, its residency, income and tax status—not simply whether its articles were issued federally or by Ontario.

A federal corporation operating solely in Ontario does not escape Ontario corporate income tax. Both normally file T2 if resident in Canada.

What should you compare?

Check filing cost, annual return obligations, recordkeeping, name-search requirements, expansion plans and any additional registrations. Use official federal and Ontario fee schedules because fees and procedures change.

If you expect no operations outside Ontario, do not pay for a more complex structure just because 'federal' sounds more prestigious.

A decision example

A Toronto business using a generic numbered name with only Ontario clients may lean toward provincial incorporation for simplicity. A brand planning significant operations in multiple provinces might value federal name and governance considerations.

Either way, review insurance, contracts and shareholder arrangements separately from the incorporation choice.
